Terms Defined

“Hilarious Voicemails Website” or “Hilarious Voicemails” or “the Site” means any and all
elements, contents and the ‘look and feel’ of the website available under the URL,

PLEASE READ THESE TERMS AND CONDITIONSOF USE (the “Terms”) CAREFULLY BEFORE USING THIS SITE OR ANY SERVICES ORAPPLICATIONS RELATED TO THIS SITE. By signifying Subscriber’s acceptance of theseterms and conditions, “Subscriber” acknowledges and agrees to be bound by the provisions of this agreement for the use of the Hilarious voicemails services (”services”). If Subscriber is not willing to be bound by these terms and conditions do not click the box next to “I Agree to the Terms of Service” box. By clicking this box or by using or accessing the service, Subscriber agrees to be bound by the following terms and conditions. Subscriber Registration Subscriber is granted the restricted right to view and use the Site only for the purposes of hearing, downloading or uploading voicemails including ringtones. The Site reserves the right to suspend or deny, in its sole discretion, Subscriber’s access to all or any portion of the Site.
· Subscriber agrees to supply correct, accurate, current and complete data to Hilarious
Voicemails upon signing up for the Services and at subsequent times as requested by
Hilarious Voicemails.
· If Subscriber provides data that is, or that Hilarious Voicemails suspects to be, false,
incorrect, not current or incomplete, Hilarious Voicemails has the right to suspend or
terminate Services and decline any and all current or future use of all Services, or any
portion thereof.
· Subscriber registration data will not be provided to third parties, unless required by law,
or in the event Subscriber grants Hilarious Voicemails the right to provide that
information.
· Subscriber shall maintain and promptly update the registration data as applicable.
· Upon completion of all registration information and acceptance of this Agreement,
Subscriber’s Account will be created and Subscriber will obtain an Id and Password for
using the Site. Subscriber is solely responsible for maintaining the confidentiality of
Subscriber’s password and, and will be responsible for all transactions and activities that
occur as a result of Subscriber’s disclosure of such password, whether or not such
transactions and/or activities were authorized by Subscriber.
· Subscriber shall not give account information to third parties and shall at all times be
responsible and liable for any transactions or activities that occur on Subscriber’s account.
· Subscriber shall immediately notify Hilarious Voicemails if any unauthorized use of
Subscriber’s Account has occurred or of any other breach of security.

Hilarious Voicemails respects the privacy of its Subscribers. Please refer to the Hilarious
Voicemails Privacy Policy for more details. This policy, which may be updated from time to time by Hilarious Voicemails in its discretion, is incorporated into these terms and conditions by this reference.

Termination

· Hilarious Voicemails Services are for personal, non-commercial usage. Hilarious
Voicemails reserves the right to immediately disconnect or modify a Subscriber’s Service
if Hilarious Voicemails determines, in its sole discretion that Subscriber’s use of the
Service is, or at any time was, inconsistent with normal personal, non-commercial usage
patterns.
· Any free services provided by Hilarious Voicemails that involve creating a unique
account are personal to the Subscriber and a Subscriber is only allowed one free Hilarious
Voicemails account. If Hilarious Voicemails determines, in its sole discretion, that
multiple free accounts have been created by a single Subscriber, Hilarious Voicemails
reserves the right to immediately terminate or modify any or all of Subscriber’s accounts.
· To maintain or improve the Services, to prevent fraud, or for any other reason determined
by Hilarious Voicemails, its sole discretion, Hilarious Voicemails may restrict, suspend,
terminate or modify Subscriber’s service with or without notice.
· Upon any termination in accordance with the foregoing, Hilarious Voicemails may
immediately deactivate or delete Subscriber’s account and all related information and
files in Subscriber’s Account and/or bar any further access to such files, information, or
the Services.
· Hilarious Voicemails shall not be liable to Subscriber or any third party for any reason
for terminating this Agreement or access to Services or for modifying this Agreement
and/or the Services.

Limited License to Site
If Subscriber violates these Terms, the Site may terminate or cancel Subscriber’s access rights to the Site immediately without notice. The Site may also block Subscriber’s use of the Site. The Site reserve the right at any time to modify or discontinue the Site or any part thereof and Subscriber agrees that the Site shall not be liable to Subscriber or to any third party for any modification, suspension, or discontinuance of the Site or any part thereof. This license is limited to personal and non-commercial uses by Subscriber. Any rights not expressly granted to Subscriber herein are reserved to the Site. No portion of this Site is targeted to children, and any minor should seek consent of his or her legal guardian before using this site. Please be aware that a particular section of the Site called as “Vulgar Voicemails” contains adult or mature content in the form of vulgar voicemails.
Subscriber must be at least 18 years of age to access and view such areas. Subscriber hereby agrees and undertakes to provide accurate information with regard to his or her age at the time of registration. Unless Subscriber have received specific written permission from Hilarious Voicemails Subscriber may not (a) “frame” or otherwise impose editorial comment, commercial material orany information or content on, or in proximity to, content displayed on the Site or (b) alter or modify any content on the Site. Without limiting other restrictions, Subscriber agrees not to reproduce, transmit, sell, or otherwise exploit the Site for any commercial purpose. Effective upon acceptance of this Agreement, Hilarious Voicemails hereby grants to Subscriber a personal, nonexclusive, nontransferable, revocable license to access and use the Services for
Subscriber’s non-commercial use. Subscriber shall have no right to sell, resell, reproduce,
duplicate, copy, distribute, create derivative works or exploit for commercial purposes, any portion of the Services, access to the Services, or use of the Services nor make any claim that it does have such right. Subscriber agrees to abide by all applicable local, state, national, foreign and international laws and regulations and is solely responsible for all acts or omissions that occur under Subscriber’s account or password, including the content of Subscriber’s transmissions through the Service. The Site may allow Subscriber to upload, post, and/or distribute user submitted content, and use of the Site for this purpose is subject to the following conditions:
· Subscriber recognize that all Subscriber feedback, data, comments, suggestions,
information, voicemails, sounds, audio, audiovisual, messages and other materials of any
nature (”Materials”) that are transmitted to or via the Site are the sole liability of the
Subscriber. Subscriber shall be solely liable for any such transmissions sent through the
Service. Hilarious Voicemails neither has any control over the content of any
transmission nor will it be liable for such content. This means Subscriber, and not the
Site, are entirely liable for the Materials Subscriber transmit through the Site. Further,
Subscriber understands that by using the Site Subscriber may be exposed to Materials
that are offensive, objectionable or indecent.
· Subscriber shall not create a false identity or forged email address or header, or otherwise
attempt to mislead others as to the identity of the sender or the origin of the message.
· Subscriber shall not use the Services to create a user name or screen name or upload to,
distribute through or otherwise publish through the Site any Materials which are libelous,
defamatory, threatening, invasive of privacy or publicity rights, harmful of minors in any
way, abusive, nor use the Services for any activity that may be considered or are
unethical, immoral, violative of any third party’s rights, or illegal or harassing, or contain
expressions of hatred, bigotry, racism or pornography, or are otherwise objectionable, or
that would comprise or encourage a criminal offense, violate the rights of any party or
violate any law or that Subscriber do not have a right to make available under contractual
or fiduciary relationships.
· Subscriber Materials, user name and/or screen name will not criticize in any manner
Hilarious voicemails, its owners, advertisers, products, or services and sites.
· Subscriber Materials shall not infringe the copyright, trademark, publicity/privacy right
or other intellectual property right of any third party.
· Subscriber shall not violate law of any country regarding the transmission of technical
data or software exported through the Service
· Subscriber shall not upload to, distribute through or otherwise publish through the Site
any Materials that are directly or indirectly commercial in nature or contain any
solicitation of funds, promotion, advertising or solicitation for goods or Site. Subscriber
specifically acknowledges that soliciting other users to join or become users or members
of any commercial online web site or other organization is expressly prohibited.
· Subscriber shall not upload to, distribute through or otherwise publish through the Site
any Materials that contain viruses or any other computer code, corrupt files or programs
designed to interrupt, destroy or limit the functionality or disrupt any software, hardware,
telecommunications, networks, servers or other equipment. Transmit any material that
contains viruses, Trojan horses, worms, time bombs; cancel bots, or any other harmful or

deleterious programs.
· Subscriber shall not act in a manner that negatively affects other Subscriber’s ability to
interact with the Site and interfere with another member’s use and enjoyment of the
Service or another entity’s use and enjoyment of similar services.
· Subscriber shall not harvest or otherwise collect information about other Subscriber,
including email addresses, or other personal data without their consent; nor attempt to
gain unauthorized access to the Service, other accounts, computer systems or networks
connected to the Service, through password mining or any other means
· Further, Subscriber will abide by all rules, regulations, procedures and policies of
Hilarious Voicemails and any policies of the networks connected to the Services
Subscriber recognizes that the site do not review any Materials posted by Subscriber, however the Site shall have the right though not the obligation in the Site’s sole discretion to reject or remove any Materials. Without limiting any of the Site’s rights, the Site shall have the right to remove any Materials that violate the Terms or are otherwise objectionable, as well as terminate Subscriber’s access to the Site. Subscriber agrees that the Site has no accountability or responsibility for the storage or removal of any Materials that Subscriber or any other persons submit or post. The Site reserves the right to change these common practices and limits at any time in the Site’s sole discretion.

Submitted Content
License Grant and Warranties

Unless Subscriber enters into a separate agreement with the Site, such as a purchase agreement or a contest, the Site does not claim ownership in Materials Subscriber submits, however, by submitting Materials in any form to the Site, in addition to other provisions of the Terms, you automatically grant Hilarious Voicemails and its successors, assigns, and licensees and parent, subsidiary and other affiliated entities ,a non-exclusive, fully-paid, world-wide, perpetual, royalty-free license to publicly display, publicly perform, distribute, and reproduce the Materials in any manner and in any medium, including, without limitation, through physical copies such as, videos, and CDs, by television by any means, on or via the Internet, including, without limitation, the World Wide Web, and any other two-way transmission control protocol / internet protocol (TCP/IP) based distribution network or similar networks or technologies now known or hereafter to become known, including, but not limited to, delivery via such a network to personal
computers, hand-held devices, and television set-top boxes through telephone or cable lines, or wirelessly through broadband, satellite, cellular or terrestrial broadcast networks and other similar networks or technologies whether now existing or hereafter developed. Subscriber obtains no rights in any form, media, or technology incorporating the Material
Subscriber represent and warrant that (i) Subscriber has the legal right and authority to grant the rights granted herein, (ii) neither the Materials nor exercise of the rights granted to Hilarious Voicemails under this Agreement, including, without limitation, the public display, public performance, distribution, or reproduction of the Materials, or portions or derivative works thereof, will violate or infringe upon the copyright, literary, privacy, publicity, trademark, service mark or any other personal, contractual or property right of any person or entity anywhere in the world, (iii) the Materials do not constitute a libel or defamation of any third party, and (iv) Subscriber is the sole owner of the Materials and all rights therein, and that the Materials are original to Subscriber. Proprietary Rights vested with Hilarious Voicemails Subscriber acknowledges and agrees that the Site and any necessary software used in connection with the Service contain proprietary and confidential information that is protected by applicable intellectual property and other laws. As between the parties, Hilarious Voicemails shall retain all right, title and interest to the Services including all copyrights, trademarks, patents and all other intellectual property rights thereto, including without limitation with respect to all technology
and telephone numbers used in connection with or provided as part of the Services.
· Subscriber may not, nor allow any third party to, copy, distribute, sell, disclose, lend,
transfer, convey, modify, decompile, disassemble or reverse engineer the Services for any
purpose whatsoever. Subscriber may not allow any third party to access the Services for
any purpose whatsoever.
· The copyright notices and other proprietary legends shall not be removed from the
Services and no right to use any trademark is granted under this Agreement.
· Subscriber may not grant any sublicense, lease or other right in the Services to any third
party. All rights not expressly granted under this Agreement are retained by Hilarious

Privacy Policy

Information that Subscriber submits is subject to the Privacy Policy of Hilarious Voicemails.

Password and Security

Subscriber is responsible for maintaining the confidentiality of Subscriber password and account,and is fully responsible for all activities that occur under Subscriber’s password or account. Subscriber agrees to immediately notify us of any unauthorized use of your password or account or any other breach of security. Subscriber acknowledge, consent and agree that we may access, preserve, and disclose Subscriber account information and Material if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce these Terms; (c) respond to claims that any Materials violates the rights of third-parties; (d) respond to Subscriber’s requests for customer service; or (e) protect the rights, property, or personal safety of the Site, the Site users and the public. Subscriber understands that the technical processing and transmission involved in interacting with, including the transmission of Materials, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Subscriber understands that the Site may include security components that
permit digital materials to be protected, and use of these materials is subject to usage rules set by the Site and/or content providers who provide content to the Site. Subscriber may not attempt to override or circumvent any of the usage rules embedded into the Site.

Contests and Rating Content

From time to time, Hillariousvoicemail.com may conduct contests in which the Site may award various prizes. Subscriber agrees that if Subscriber participates in any contest Subscriber will abide by all the rules and be subject to all the terms and conditions of such contest, in addition to these Terms. Subscriber agrees that Subscriber shall only rate each individual voicemails on the Site only once.

International Use
Recognizing the global nature of the Internet, Subscriber agrees to comply with all local rules regarding online conduct and acceptable Materials. Subscriber agrees to comply with all applicable foreign and domestic laws, rules and regulations regarding the transmission of technical data exported from or imported to the United States or the country in which Subscriber resides.

Indemnity

Subscriber agrees to indemnify and hold us, Hilarious Voicemails, affiliates, officers, agents, partners and employees harmless from any claim or demand, including reasonable attorney’s fees, arising out of Subscriber’s content and materials, Subscriber’s use of the Site, Subscriber’s violation of these Terms or Subscriber’s violation of any third party’s rights including such party’s copyrights and trademarks.

Disclaimer of Warranties

THE SITE AND RELATED APPLICATIONS, MATERIALS AND SERVICES ARE
PROVIDED TO YOU “AS IS” WITHOUT WARRANTY OF ANY KIND AND WITH ALL
RISKS. HILARIOUS VOICEMAILS HEREBY DISCLAIM TO THE MAXIMUM EXTENT
PERMITTED BY LAW (A) ALL WARRANTIES EITHER EXPRESSED OR IMPLIED,
INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF
MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE; AVAILABILITY OF
THE SITE; LACK OF VIRUSES, WORMS, TROJAN HORSES, OR OTHER CODE THAT
MANIFESTS CONTAMINATING OR DESTRUCTIVE PROPERTIES; ACCURACY,
COMPLETENESS, RELIABILITY, TIMELINESS, CURRENCY, OR USEFULNESS OF
ANY INFORMATION ON THE SITE; AND (B) ANY DUTIES OF REASONABLE CARE,

Assumption of Risks
SUBSCRIBER ASSUMES ALL RISKS THAT THE SITE, APPLICATIONS, AND RELATED
INFORMATION ARE SUITABLE OR ACCURATE FOR YOUR NEEDS AND WILL BE
UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. ANY APPLICATIONS

SUBSCRIBER’S OWN DISCRETION AND RISK AND SUBSCRIBER ARE SOLELY
RESPONSIBLE FOR ANY DAMAGE TO COMPUTER OR LOSS OF DATA. BY VIEWING
THIS SITE, HEARING VOICEMAILS, READING COMMENTS BY OTHER
SUBSCRIBERS OR ACCESSING APPLICATIONS AND SERVICES RELATED TO THIS
SITE SUBSCRIBER MAY BE EXPOSED TO VULGAR, RUDE, CRUDE, INDECENT, OR
OTHER OFFENSIVE LANGUAGE OR REFERENCES. SUBSCRIBER AGREES THAT THE
SITE SHALL NOT BE RESPONSIBLE FOR ANY LOSS OR DAMAGE OF ANY SORT
RELATING TO SUBSCRIBER’S DEALINGS WITH ANY THIRD PARTY ADVERTISER
OR CONTENT PROVIDER ON THE SITE.
No Incidental, Consequential or Certain Other Damages

TO THE MAXIMUM EXTENT ALLOWED BY LAW, SUBSCRIBER AGREES THAT
NEITHER THE SITE NOR ANY OF THE SITE’S AFFILIATES OR AGENTS WILL BE
LIABLE TO SUBSCRIBER AND/OR ANY OTHER PERSON FOR ANY CONSEQUENTIAL
OR INCIDENTAL DAMAGES (INCLUDING BUT NOT LIMITED TO LOST PROFITS,
LOSS OF PRIVACY OR FOR FAILURE TO MEET ANY DUTY INCLUDING BUT NOT
LIMITED TO ANY DUTY OF GOOD FAITH, LACK OF NEGLIGENCE OR OF
WORKMANLIKE EFFORT) OR ANY OTHER INDIRECT, SPECIAL, OR PUNITIVE
DAMAGES WHATSOEVER THAT ARISE OUT OF OR ARE RELATED TO THE SITE,
APPLICATIONS OR RELATED INFORMATION, OR TO ANY BREACH OF THESE

Limitation of Liability

n no event shall the site be liable to subscriber or any third party for special, indirect, incidentalor consequential damages whether arising under contract, warranty, or tort (including negligenceor strict liability) or any other theory of liability. The Site’s liability for damages, regardless of the form of the action, shall not exceed the license fee paid by subscriber for the services, if any. The limitation of liability reflects the allocation of risk between the parties. The limitations specified in this section will survive and apply even if any limited remedy specified in this agreement is found to have failed of its essential purpose. Some jurisdictions do not allow certain limitations of liability, so certain of the foregoing limitations may not apply to subscriber.

Links; Advertisers

Hilarious Voicemails contains links to third party sites that are not under the control of Hilarious Voicemails and Hilarious Voicemails is not responsible for any content on any linked site. If Subscriber accesses a third party site from the Site, then Subscriber do so at Subscriber’s own risk. Hilarious Voicemails provides links only as a convenience and the inclusion of the link does not imply that Hilarious Voicemails endorses or accepts any responsibility for the content on those third party sites. Additionally, Subscriber dealings with or participation in promotions of advertisers found on Hilarious Voicemails, including payment and delivery of goods, and any other terms (such as warranties) are solely between Subscriber and such advertisers. Subscriber agrees that Hilarious Voicemails shall not be responsible for any loss or damage of any sort relating to Subscriber’s dealings with such advertisers.

General Practices Regarding Use and Storage

Subscriber acknowledges that the Site may establish general practices and limits concerning use of the Service, including without limitation the maximum number of days that Materials will be retained by the Site, the maximum number of Materials that may be sent from or received by an account, the maximum size of any Materials, the maximum disk space that will be allotted to Subscriber, and the maximum number of times (and the maximum duration for which) Subscriber may access the Site in a given period of time. Subscriber acknowledge that The Site reserve the right to log off accounts that are inactive for an extended period of time.

No Third Party Beneficiaries

Subscriber agrees that, except as otherwise expressly provided in these Terms, there shall be no third party beneficiaries to this Agreement.

Modification to Services
· During the term of this Agreement, Hilarious Voicemails may modify or discontinue the
Services at any time and with or without notice to Subscriber.
· Without limiting the generality of the foregoing, Hilarious Voicemails may, from time to
time, with or without notice and at its sole discretion, establish or change various
practices, limitations and restrictions for administering such Services, including without
limitation: (a) how often all or a part of the Services or account may be accessed; (b) the
duration of any access to voicemails; (c) the maximum number of days Voicemails be
retained; (d) the maximum number of messages or postings allowed including pertaining
to contests; (e) the size and nature messages and postings; (f) the maximum storage space
available for an account; and (g) any other matter related to the administration of the
Services.
· Subscriber agrees that Hilarious Voicemails shall not be responsible or liable in any way
for deactivation or deletion of accounts or for loss of emails, voice mails,
communications, postings, data or information as a result of, or arising out of,
administration of the Services, whether or not Subscriber is given prior notice thereof.

· Hilarious Voicemails may delete accounts that are inactive for an extended period of time as determined by Hilarious Voicemails in its sole discretion.
· Hilarious Voicemails may delete pending accounts that have not yet been validated by
Subscriber after a period of time as determined by Hilarious Voicemails in its sole
discretion.
· Hilarious Voicemails shall not be liable to the Subscriber or any third party for any
reason for Hilarious Voicemails modifying or terminating the Services, in whole or in
part.
· Subscriber is responsible for creating a back-up copy of any important or critical
information that is stored on the Services. Hilarious Voicemails shall not be responsible
or liable in any way for any information or data loss in connection with the Services.

Notice and Amendments

Hilarious Voicemails reserves the right to change the terms and conditions of this Agreement. The Site may provide Subscriber with notices, including those regarding changes to these Terms, by either e-mail, regular mail, or postings on the Site. Use of the Services signifies Subscriber’s agreement to all terms, conditions and notices contained or referenced herein. Continued use of any part of the Services following the posting of any changes to this Agreement constitutes acceptance of those changes, and all changes shall thereupon become binding upon the Subscriber. If the Subscriber does not want to be bound by an amendment, Subscriber will need to terminate Subscriber’s registration, if any, and refrain from using the Site. Except as expressly stated otherwise, any notices required or allowed under these Terms shall be given to the Site by

General Information
Entire Agreement

· These Terms constitute the entire agreement between Subscriber and Hilarious
Voicemails and govern Subscriber’s use of the Site, superseding any prior agreements.
This Agreement, including any documents incorporated herein by reference, merges all
prior written and oral communications and defines the entire agreement of the parties
concerning the Services.
· In the event any portion of this Agreement shall be held illegal, void, or ineffective, the
remaining portions hereof shall remain in full force and effect and such illegal, void or
ineffective provisions shall be construed, as nearly as possible, to reflect the intentions of
the parties. Subscriber also may be subject to additional terms and conditions that may
apply when Subscriber uses or purchases certain other services, affiliate services, thirdparty content or third-party software.

Resolution of Disputes

Subscriber agrees that any controversy arising out of or in connection with our relationship or a dispute with reference to these Terms, their validity or effect will be governed by the laws of the state of Maryland without regard to conflicts of law’s provisions thereof. Each party submit to the exclusive jurisdiction of the Maryland and irrevocably waive any right that such party may have to assert the such forum is not convenient or that any such court lacks jurisdiction. Subscriber agrees and acknowledges that any breach of the provisions regarding ownership contained in this Agreement shall cause Hilarious Voicemails irreparable harm and Hilarious Voicemails may obtain injunctive relief as well as seek all other remedies available to Hilarious Voicemails in law and in equity. Subscriber shall not transfer or assign this Agreement or
Subscriber’s rights under this Agreement. Any purported transfer or assignment in violation of this section is void. Subject to the foregoing, this Agreement shall be binding on and inure to the benefit of the parties, their successors, permitted assigns and legal representatives.

Waiver and Severability of Terms
Failure of Hilarious Voicemails to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms shall remain in full force and effect.
